These Terms and Conditions (“Terms”) govern your access to and use of the website located at www.aecplustech.com (the “Site”) and all related services, features, and content provided by aec+tech, Inc, a California limited liability company (“aec+tech,” “we,” “us,” or “our”). By accessing, browsing, registering for, or using the Site or any related services, you (“User” or “you”) agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms or the referenced policies, you must not access or use the Site or any related services.
1. Definitions
1.1. Content: All text, images, graphics, logos, audio, video, software, code, and other materials available on or through the Site, whether provided by aec+tech, Users, or Providers.
1.2. User: Any individual or entity accessing or using the Site, including registered and unregistered users.
1.3. Provider: Any third-party company or entity that lists, markets, or offers products or services through the Site, including but not limited to Architecture, Engineering, and Construction (AEC) software and technology providers.
1.4. User Content: Any Content submitted, posted, uploaded, or otherwise provided by a User to the Site, including but not limited to reviews, comments, ratings, or feedback.
1.5. Subscription: Any free or paid plan granting access to premium features, services, or Content on the Site.
1.6. Confidential Information: Any non-public information disclosed by one party to the other, including but not limited to User data, business plans, financial data, or proprietary technology, whether disclosed orally, in writing, or electronically.
1.7. Personal Data: Information relating to an identified or identifiable individual, as defined by applicable data protection laws, including but not limited to names, email addresses, and other contact information.
1.8. Partner: A third-party tech company or Provider with whom aec+tech has a contractual relationship to share certain User Personal Data, as described in these Terms and our Privacy Policy.
2. Acceptance of Terms
2.1. Binding Agreement: By accessing or using the Site, clicking “Accept,” registering an account, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.
2.2. Eligibility: You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an entity, you represent that you have the authority to bind such entity to these Terms.
2.3. Non-Acceptance: If you do not agree to these Terms or the referenced policies, you must immediately cease accessing or using the Site and any related services.
3. Changes to Terms
3.1. Right to Modify: We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion, to reflect changes in our services, business practices, or applicable laws.
3.2. Notification of Changes: We will post the revised Terms on the Site with an updated “Last Updated” date. We may, but are not obligated to, notify you of material changes via email or through a prominent notice on the Site.
3.3. Acceptance of Changes: Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Site.
3.4. Review Obligation: You are responsible for regularly reviewing these Terms to stay informed of any updates.
4. Scope of Services
4.1. Marketplace Platform: aec+tech operates an online marketplace designed to facilitate the discovery, comparison, and demonstration of Architecture, Engineering, and Construction (AEC) software and technology solutions.
4.2. Third-Party Products: The Site features products and services offered by third-party Providers. aec+tech does not develop, own, or control these third-party products or services, which remain the sole property and responsibility of their respective owners.
4.3. No Endorsement: Listing a product or service on the Site does not constitute an endorsement or warranty by aec+tech regarding the quality, functionality, or suitability of such products or services.
4.4. Role of aec+tech: aec+tech acts solely as a platform provider and intermediary, connecting Users with Providers. Any transactions or agreements between Users and Providers are governed by separate terms between those parties.
5. Account Registration and Security
5.1. Registration Requirement: Certain features or services on the Site, including Subscriptions, require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.
5.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials (e.g., username and password) and for all activities that occur under your account.
5.3. Unauthorized Access: You agree to notify aec+tech immediately at niknaz@aecplustech.com if you suspect or become aware of any unauthorized access to or use of your account.
5.4. Account Suspension: aec+tech reserves the right to suspend or terminate your account, with or without notice, if we suspect fraudulent, unauthorized, or unlawful activity or a breach of these Terms.
5.5. Account Ownership: Accounts are non-transferable and may not be shared with or assigned to another individual or entity without our prior written consent.
6. Subscription Fees and Payment
6.1. Subscription Plans: Details of free and paid Subscription plans, including pricing and features, are displayed on the Site. We reserve the right to modify Subscription offerings or pricing at any time, with notice provided as described in Section 3.
6.2. Payment Obligations: You agree to pay all applicable fees for your selected Subscription plan, as displayed at the time of purchase. All fees are payable in U.S. dollars unless otherwise specified.
6.3. Third-Party Processors: Payments are processed by third-party payment processors. You agree to provide accurate payment information and authorize us and our payment processors to charge your provided payment method for all applicable fees.
6.4. Non-Refundable Fees: Unless required by applicable law or expressly stated otherwise, all fees are non-refundable, including in the event of early termination or non-use of Subscription services.
6.5. Payment Failures: If payment is not received when due, aec+tech may suspend or terminate your access to paid features or services until payment is made in full.
6.6. Taxes: You are responsible for any applicable taxes, duties, or levies associated with your Subscription, except for taxes based on aec+tech’s income.
7. Data Sharing with Partners
7.1. Disclosure of Personal Data: By using the Site, you consent to aec+tech sharing your name and email address with our third-party Partners (e.g., tech companies paying to list their products or services on the Site) for the purposes of marketing, product promotion, or facilitating transactions between you and such Partners.
7.2. Transparency: Our Privacy Policy provides detailed information about how we collect, use, and share your Personal Data, including with Partners. You acknowledge that you have reviewed and consent to the data practices described in the Privacy Policy.
7.3. Partner Obligations: aec+tech requires its Partners to comply with applicable data protection laws and to use your Personal Data only for the purposes for which it was shared, as outlined in our agreements with them.
7.4. Opt-Out Option: You may opt out of having your Personal Data shared with Partners by adjusting your account settings or contacting us at niknaz@aecplustech.com. Note that opting out may limit your access to certain features or services on the Site.
7.5. No Liability for Partner Actions: While aec+tech takes reasonable steps to ensure Partners handle your Personal Data responsibly, we are not liable for any misuse, unauthorized access, or other actions by Partners in connection with your Personal Data.
8. License Grants
8.1. License to Users: aec+tech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal or internal business purposes, subject to these Terms.
8.2. User Content License: By submitting, posting, or uploading User Content to the Site, you grant aec+tech a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with operating and promoting the Site and our services.
8.3. Provider Content License: Providers who list products or services on the Site grant aec+tech a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to host, reproduce, modify, adapt, distribute, and display their product descriptions, images, and related materials on the Site for marketing and operational purposes.
8.4. Restrictions: You may not copy, modify, distribute, sell, or sublicense any Content or services from the Site, except as expressly permitted by these Terms or with our prior written consent.
9. Permissible Use and Prohibited Conduct
9.1. Permissible Use: You may use the Site only for lawful purposes and in accordance with these Terms.
9.2. Prohibited Conduct: You agree not to:
9.2.1. Use the Site for any unlawful, fraudulent, or malicious purpose.
9.2.2. Engage in data scraping, data mining, or other unauthorized data collection activities.
9.2.3. Introduce viruses, malware, or other harmful code to the Site.
9.2.4. Infringe or misappropriate any intellectual property rights of aec+tech, Providers, or other Users.
9.2.5. Post, upload, or transmit User Content that is unlawful, defamatory, obscene, abusive, harassing, or otherwise objectionable.
9.2.6. Attempt to gain unauthorized access to the Site, its systems, or other Users’ accounts.
9.2.7. Interfere with or disrupt the operation of the Site or its servers.
9.3. Consequences of Violation: aec+tech reserves the right to investigate and take appropriate action, including account suspension, termination, or legal action, against any User who violates this Section.
9.4. Indemnification for Misuse: You agree to indemnify, defend, and hold harmless aec+tech and its affiliates, officers, directors, employees, and agents from any claims, damages, or losses arising from your violation of this Section.
10. Intellectual Property
10.1. Ownership: All Content on the Site, including trademarks, service marks, logos, trade dress, and other proprietary materials, is owned by aec+tech, its licensors, or Providers and is protected by U.S. and international intellectual property laws.
10.2. Limited Use: You may access, download, or print Content from the Site solely for personal, non-commercial use, provided you retain all copyright and proprietary notices.
10.3. No Unauthorized Use: You may not reproduce, distribute, modify, create derivative works from, or otherwise exploit any Content without our prior written consent, except as permitted by these Terms.
10.4. Feedback: Any feedback, suggestions, or ideas you provide to aec+tech about the Site or our services may be used by us without obligation or compensation to you, and you grant us a perpetual, royalty-free license to use such feedback.
11. Privacy and Cookies
11.1. Privacy Policy: Our Privacy Policy, available at www.aecplustech.com/privacy, governs the collection, use, storage, and sharing of your Personal Data, including the sharing of your name and email address with Partners as described in Section 7.
11.2. Cookie Policy: Our Cookie Policy, available at www.aecplustech.com/cookies, explains how we use cookies and similar technologies to enhance your experience on the Site.
11.3. Consent to Data Practices: By using the Site, you consent to our data collection, use, and sharing practices as described in the Privacy Policy and Cookie Policy.
11.4. Data Subject Rights: Depending on your jurisdiction, you may have rights under applicable data protection laws (e.g., GDPR, CCPA) to access, correct, delete, or restrict the processing of your Personal Data. Contact us at niknaz@aecplustech.com to exercise these rights.
12. Compliance with Laws
12.1. General Compliance: Each party agrees to comply with all applicable local, state, national, and international laws, regulations, and industry standards, including those related to data privacy, data protection, and cybersecurity.
12.2. Data Protection Laws: aec+tech will process Personal Data in accordance with applicable data protection laws, including but not limited to the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR), where applicable.
12.3. Export Controls: You agree not to use the Site in violation of any applicable export control or trade sanction laws, including those administered by the U.S. Department of Commerce or the U.S. Department of the Treasury.
13. Warranty Disclaimer
13.1. As-Is Basis: The Site and all services are provided “as is” and “as available,” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
13.2. No Guarantee of Accuracy: aec+tech does not warrant that the Site, its Content, or any services will be accurate, complete, reliable, error-free, or uninterrupted.
13.3. Third-Party Products: aec+tech makes no representations or warranties regarding the quality, functionality, or suitability of any third-party products or services listed on the Site.
13.4. Risk of Use: You assume all risks associated with your use of the Site, including risks related to the accuracy of Content, interactions with Providers, or reliance on any information provided.
14. Limitation of Liability
14.1. Cap on Liability: To the fullest extent permitted by law, aec+tech’s total liability for any claims arising out of or related to these Terms or your use of the Site shall not exceed the total fees paid by you to aec+tech in the twelve (12) months preceding the claim.
14.2. Exclusion of Damages: Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, even if advised of the possibility of such damages.
14.3. Exceptions: The limitations in this Section shall not apply to liability arising from aec+tech’s gross negligence, willful misconduct, or violation of applicable law.
14.4. Third-Party Actions: aec+tech is not liable for any actions, omissions, or breaches by Providers or other third parties, including their handling of your Personal Data.
15. Indemnification
15.1. User Indemnity: You agree to indemnify, defend, and hold harmless aec+tech, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
15.1.1. Your use of the Site or services.
15.1.2. Your User Content, including any claim that it infringes third-party rights.
15.1.3. Your breach of these Terms or any applicable law.
15.2. Procedure: aec+tech will notify you of any claim subject to indemnification, and you agree to assume control of the defense and settlement of such claim, provided that aec+tech may participate in the defense at its own expense.
16. Confidentiality and Data Security
16.1. Confidential Information: Each party agrees to treat the other’s Confidential Information with the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care.
16.2. Use Restrictions: Confidential Information may be used only as necessary to perform obligations under these Terms and may not be disclosed to third parties except as expressly permitted herein or with prior written consent.
16.3. Data Security Measures: aec+tech will implement and maintain reasonable technical, administrative, and physical safeguards to protect your Personal Data and Confidential Information from unauthorized access, disclosure, alteration, or destruction.
16.4. Data Breach Notification: In the event of a data breach affecting your Personal Data, aec+tech will notify you as required by applicable law and take reasonable steps to mitigate any harm.
16.5. Exceptions: The obligations in this Section do not apply to information that: (i) is publicly available through no fault of the receiving party; (ii) was rightfully obtained from a third party; or (iii) is required to be disclosed by law, provided the disclosing party gives prior notice to the other party where feasible.
17. Termination and Survival
17.1. Termination by User: You may terminate your account or Subscription at any time by following the instructions on the Site or contacting us at niknaz@aecplustech.com.
17.2. Termination by aec+tech: We may suspend or terminate your access to the Site or any services, with or without notice, if you breach these Terms or if we believe your use of the Site poses a risk to us, other Users, or Providers.
17.3. Effect of Termination: Upon termination, your right to access or use the Site and any paid services will cease immediately. Any outstanding fees remain payable, and no refunds will be issued unless required by law.
17.4. Survival: The following provisions will survive termination of these Terms: Sections 7 (Data Sharing with Partners), 8 (License Grants), 9.4 (Indemnification for Misuse), 10 (Intellectual Property), 11 (Privacy and Cookies), 14 (Limitation of Liability), 15 (Indemnification), 16 (Confidentiality and Data Security), 18 (Governing Law and Dispute Resolution), and any other provisions that by their nature are intended to survive.
18. Governing Law and Dispute Resolution
18.1. Governing Law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
18.2. Informal Resolution: Before initiating any formal legal action, the parties agree to attempt to resolve any dispute arising out of or related to these Terms through good-faith negotiations for a period of at least thirty (30) days.
18.3. Arbitration: Any dispute not resolved through informal negotiations shall be settled by binding arbitration in Walnut Creek, California, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator’s award shall be final and binding, and judgment may be entered thereon in any court of competent jurisdiction.
18.4. Class Action Waiver: You agree that any disputes will be resolved on an individual basis, and you waive any right to participate in a class action, collective action, or representative action against aec+tech.
18.5. Exceptions: Notwithstanding Section 18.3, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, including violations of intellectual property or confidentiality obligations.
19. Force Majeure
19.1. Excused Performance: Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, war, government actions, labor disputes, or network or internet failures.
19.2. Notice and Mitigation: The affected party shall promptly notify the other party of any force majeure event and take reasonable steps to mitigate its impact.
20. Assignment
20.1. User Restrictions: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
20.2. aec+tech Rights: aec+tech may assign or transfer these Terms, in whole or in part, without notice, in connection with a merger, acquisition, reorganization, or sale of assets, or as otherwise permitted by law.
21. Severability, Waiver, and Entire Agreement
21.1. Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
21.2. Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. No waiver shall constitute a continuing waiver unless expressly stated.
21.3. Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and aec+tech with respect to the Site and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
22. Third-Party Beneficiaries
22.1. No Third-Party Rights: Except as expressly provided in these Terms, no third party is intended to be, or shall be, a beneficiary of any rights or obligations under these Terms.
22.2. Provider Agreements: Any agreements or interactions between you and Providers are solely between you and the Provider, and aec+tech is not a party to such agreements.

23.2. To User: We may send notices to you via the email address associated with your account or through a prominent notice on the Site.
23.3. Electronic Communications: You consent to receive communications from us electronically, including notices, updates, and promotional materials, unless you opt out as permitted by law.
